These Terms and Conditions (“Terms”) govern your access to and use of Spack EV’s platform, dashboard, mobile applications, APIs, and related services (collectively, the “Services”). By accessing or using the Services, or by clicking “I agree” (or similar) where this option is presented, you:
- Acknowledge that you have read and understood these Terms;
- Agree to be legally bound by these Terms; and
- Also agree to our Privacy Policy, which forms an integral part of these Terms.
If you do not agree with these Terms or the Privacy Policy, you must not use the Services.
For the purposes of these Terms:
- “Account” means the user account you create on the Spack EV platform to access and use the Services.
- “Application” means any mobile or web application provided by Spack EV through which the Services are made available.
- “Charging Session” means the period during which an electric vehicle is connected to a charging station and energy is delivered, along with associated data (such as start and end time, energy consumed, and cost).
- “Charging Station” means a physical EV charging point or group of points that can be managed through the Spack EV platform.
- “Customer”, “User”, “you” means any individual or entity that accesses or uses the Services.
- “Fees” means any charges payable for subscriptions, platform usage, charging sessions, convenience fees, or other services provided via the Platform, excluding applicable taxes unless otherwise stated.
- “Platform” means Spack EV’s technical platform, including backend systems, dashboards, APIs, websites, and Applications.
- “Total Amount Payable” means the total charges payable by you in connection with your use of Services (e.g. subscription fees, per-session charges, convenience fees, applicable taxes, etc.).
Other capitalized terms may be defined elsewhere in these Terms or in the Privacy Policy.
You may use the Services only if:
- You are at least 18 years old;
- You have the legal capacity to enter into binding contracts under applicable law; and
- Your use of the Services is not prohibited under the laws of your country, state, or city.
By using the Services, you represent and warrant that you meet these eligibility requirements
To access certain features of the Services, you must create an Account. When creating or updating an Account, you agree to:
- Provide accurate, current, and complete information;
- Keep your registration data up to date;
- Maintain the confidentiality of your login credentials; and
- Accept full responsibility for all activities that occur under your Account.
Spack EV is not responsible for any loss or damage arising from unauthorized use of your Account, whether with or without your knowledge.
- You are permitted to maintain only one Account linked to your personal or organizational details unless explicitly agreed otherwise with Spack EV.
- You may not assign, sell, or otherwise transfer your Account to any third party.
Spack EV may suspend or terminate your Account, with or without notice, if:
- We reasonably suspect that the information you provided is false, inaccurate, incomplete, or misleading;
- We believe your Account has been compromised or is being used in an unauthorized manner; or
- You are in violation of these Terms or any applicable law.
If you become aware of any unauthorized access to or use of your Account, you must notify us promptly at [support email]
Subject to these Terms, Spack EV grants you a limited, non-exclusive, non-transferable, revocable license to:
- Access and use the Services for your personal use or for internal business purposes (if you are a business customer);
- Install and use the Application on compatible devices that you own or control.
When using the Services, you agree that you will not:
- Violate any applicable law, regulation, or third-party rights;
- Use the Services for any unlawful, harmful, fraudulent, or abusive purpose;
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- Attempt to gain unauthorized access to any part of the Platform, other user accounts, or connected networks;
- Upload, transmit, or distribute any viruses, malware, or other harmful code;
- Interfere with or disrupt the integrity or performance of the Services or underlying systems;
- Reverse engineer, decompile, or attempt to derive source code from the Application, except to the extent permitted by applicable law;
- Use another user’s Account without proper authorization.
Spack EV reserves the right to suspend or permanently block your access to the Services for any violation of this section.
- While we strive to provide uninterrupted Services, we do not guarantee continuous, error-free, or secure operation of the Platform.
- Services may be temporarily unavailable due to maintenance, upgrades, network issues, or circumstances beyond our control
- We may modify, update, or discontinue parts of the Services at any time, with or without notice.
Spack EV shall not be liable for any loss, damage, or inconvenience arising out of Service interruptions or modifications.
If the Services enable you to book charging time slots or manage live charging sessions, the following applies:
- A booking is considered confirmed only when you receive a confirmation via the Application, SMS, email, or other communication channels supported by Spack EV.
- You are responsible for reviewing booking details (location, time slot, station, etc.) immediately after confirmation.
- If any details are incorrect, you must notify Spack EV or the relevant operator as soon as possible.
- Delays in arriving at a Charging Station or not using a booked slot may result in automatic cancellation and applicable fees (if such a feature is enabled by the operator and disclosed to you in advance).
Specific booking, cancellation, or no-show rules may be defined by the charging station owner, fleet operator, or business partner, and will be communicated via the Platform where relevant.
If you subscribe to paid Services, or if you are charged for charging sessions or other features:
- You agree to pay all applicable Fees associated with your use of the Services.
- Unless otherwise stated, Fees are billed in advance on a recurring basis (for subscriptions) or aggregated and billed per usage (for charging sessions or transactions).
- Applicable taxes (such as GST or other local taxes) will be added to the Fees as required by law.
Spack EV may support one or more of the following payment methods (depending on your region and configuration):
- Credit/debit cards
- Net banking or bank transfers
- Third-party digital wallets
- In-app wallet or stored balance
- Other payment methods made available via authorized payment gateways or processors
You authorize Spack EV and/or its payment processors to charge your selected payment method for:
- Subscription fees;
- Charging session fees;
- Convenience or platform fees;
- Any other authorized charges, including applicable taxes.
- Payments processed through third-party gateways or wallets are subject to the terms and conditions and privacy policies of those providers.
- Spack EV is not responsible for errors, delays, or security issues arising from third-party payment processors, except as required by law.
- Any refunds, adjustments, or wallet credits will be handled in accordance with our refund policies and/or applicable operator policies.
- We reserve the right to change our pricing and fee structures.
- Where applicable, we will provide at least 30 days’ notice before subscription price changes take effect.
- Your continued use of the Services after the effective date of any pricing change will constitute your acceptance of the revised Fees.
Unless otherwise required by law or explicitly stated:
- All payments are non-refundable, including partially used billing periods.
- Refunds for charging sessions, cancellations, or technical failures may be handled on a case-by-case basis, or as per specific policies communicated by Spack EV or the relevant charging station operator.
Where the Services support booking of charging slots:
- You may cancel or reschedule bookings, subject to any cancellation or rescheduling conditions shown in the Application or dashboard at the time of booking.
- Spack EV or the charging station operator may charge a cancellation or no-show fee, which will be clearly displayed before you confirm the cancellation/reschedule.
- If a booking is cancelled by Spack EV, the station owner, or due to station maintenance/outage, you may be eligible for a waiver of such fees and/or a refund or credit, as communicated at that time.
Details may vary by location, operator, and integration and will be disclosed through the Platform where relevant.
By creating an Account or using the Services, you agree that Spack EV may contact you via:
- Email, SMS, in-app notifications, or phone calls for service-related communications, such as security alerts, transactional messages, and updates.
With your consent or where permitted by law, we may also send:
- Promotional messages, offers, newsletters, and information about new features or products.
You may opt out of marketing communications at any time by using the unsubscribe link in emails or by adjusting your notification settings, but you may still receive essential service-related notifications.
All content, features, and functionality available through the Services—including text, graphics, logos, icons, images, software, and underlying technology—are owned by Spack EV or its licensors and are protected by copyright, trademark, and other intellectual property laws.
Except as expressly permitted by these Terms or in writing by Spack EV, you may not:
- Reproduce, copy, distribute, modify, or create derivative works of any part of the Services;
- Use any Spack EV trademarks, logos, or branding without our prior written consent.
To the maximum extent permitted by applicable law:
- Spack EV shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, data, goodwill, or business opportunities, arising out of or in connection with your use of, or inability to use, the Services.
- Spack EV’s aggregate liability for any claims arising out of or related to the Services shall be limited to the amount you have paid to Spack EV for the Services in the three (3) months preceding the event giving rise to the claim, or such minimum amount as mandated by applicable law.
Some jurisdictions do not allow limitations of liability for certain damages; in such cases, these limitations will apply to the fullest possible extent permitted.
You agree to indemnify, defend, and hold harmless Spack EV, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Services;
- Your breach of these Terms; or
- Your violation of any applicable law or rights of a third party.
Spack EV may, at its sole discretion and without liability, suspend or terminate your Account or access to the Services, with or without notice, if:
- You breach these Terms or the Privacy Policy;
- You misuse the Services or engage in prohibited activities;
- Required by law or regulatory authorities; or
- For any other reasonable business or security reason.
You may stop using the Services at any time and may request closure of your Account by contacting us
Upon termination:
- Your right to access and use the Services will cease immediately;
- Certain provisions of these Terms (including Limitation of Liability, Indemnification, and Intellectual Property Rights) will survive termination.
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Spack EV is registered/operates, without regard to conflict of law principles.
Any disputes arising out of or in connection with these Terms or the Services may be subject to the exclusive or non-exclusive jurisdiction of the competent courts in that jurisdiction, as specified by Spack EV.
We may update or modify these Terms from time to time. When we make material changes:
- We will update the “Last updated” date at the top of this page; and
- Where required by law or deemed appropriate, we will notify you via the Services or email.
Your continued use of the Services after the effective date of the revised Terms will constitute your acceptance of the changes.
